Business / Brand Terms & Conditions

These Business/Brand Terms & Conditions supplement the Platform Terms of Use and apply to you as a Business. In case of conflict on Business-specific matters, these terms prevail.

1. Eligibility and verification

You must be a lawfully constituted business or an individual aged 18+ authorised to run marketing campaigns for the products or services you promote. You must complete business verification, which may include verifying your registration, GST, or other details. You are responsible for the accuracy of information you provide.

2. Creating and funding campaigns

You create a campaign by defining the goal, budget, timeline, deliverables and content brief. To activate a campaign you fund the campaign fee into escrow. By funding, you authorise release of those funds to the matched Creator upon your approval of the deliverables, in accordance with the Payment Terms.

When you confirm a Creator, a direct contract is formed between you and that Creator on the agreed brief. Cirql is not a party to that contract and does not guarantee any campaign outcome, reach, engagement, or return on investment.

3. Approval, release and refunds

You must review delivered content within the review window. If the content meets the agreed brief, approve it and escrowed funds are released to the Creator. If the Creator fails to deliver the agreed content by the deadline, you may be entitled to a full or partial refund as set out in the Refund & Cancellation Policy. To keep the process fair, if you do not review within the review window the funds may auto-release to the Creator as described in the Payment Terms — so review promptly.

4. Licence to use delivered content

On release of payment for a campaign, you receive a licence to use the delivered content for the purposes, media, territory and duration set out in the brief. The default licence scope is non-exclusive, 24 months, digital and social media, India. You must use the content only within the agreed scope and must not alter it in a way that misrepresents the Creator or breaches disclosure rules.

5. Advertising compliance

You are responsible for ensuring your campaigns and claims comply with law, including the Consumer Protection Act, 2019 and guidelines on misleading advertisements, the ASCI Code, and any sector-specific advertising restrictions applicable to your products (for example, food, health, financial, or other regulated categories). You must not require a Creator to make false, misleading or non-compliant claims, or to omit required disclosures.

6. No circumvention

You must not use Cirql to identify Creators and then contract or pay them off-platform for the same or substantially similar engagement in order to avoid platform fees, during your relationship and for 24 months afterwards.

7. Fees and taxes

Business campaign charges, platform fees, and applicable taxes are set out in the Payment Terms. GST applies to platform fees as required by law. You are responsible for your own tax compliance in respect of your campaigns.

8. Warranties and indemnity

You warrant that you have the right to promote the products or services in your campaigns and that your briefs and materials do not infringe third-party rights or breach law. You agree to indemnify the Company and Creators against claims arising from your products, services, briefs, or breach of these terms.

9. Ratings, suspension and termination

You and Creators may rate each other. We may suspend or terminate your account for non-payment, abusive conduct, unlawful campaigns, circumvention, or breach of the Agreement or law. You may close your account at any time, subject to settlement of amounts due and completion of active campaigns.

10. Disputes and grievances

Campaign disputes are handled through our dispute-support process and, if unresolved, the Grievance Redressal Framework.
